Bylaws
Section One - Election of Officers
1. The Officers shall be elected for a term of one year, or until their
successors are chosen and qualified.
2. The election of Officers shall be held at the first meeting in May and
the Secretary-Treasurer shall at least ten days preceding said election
notify the members, by mail or by announcement at a regular meeting of the
membership, of the date of the election will be held.
3. The then current Officers shall, at least thirty days preceding said
election of Officers appoint a Nominating Committee composed of not less
than three members of the organization (one of which will be the outgoing
President) and shall announce said appointments at a regular meeting of
this organization at least thirty days preceding the time of said
election.
4. The nominating Committee shall present nominations at the regular
meeting to be held at least two weeks preceding the time of said election
of Officers. Two nominations shall be presented for each Officer position.
The nominations shall be selected from the membership of the organization.
5. No member shall be eligible to vote at such elections who has failed to
pay dues.
6. Filling vacancies. The Nominating Committee shall select two
nominations for any vacancies of Officers and shall report to the general
membership at the meeting. A special election shall be held two weeks
later at the next regularly scheduled meeting.
7. The Membership Committee shall publish a Directory once a year.
Section Two - Officers
1. The regular officers of this organization shall be the President,
Vice-President, Secretary and Treasurer, who duties shall be as follows:
a) The President shall preside at all meetings of the organization.
Article 1 - Name
1. The name of the organization shall be Area Business Women's Network.
2. The office shall be at the business address of the current address.
Article 2 - Philosophy and Purpose
The purposes of this organization are:
· To institute and maintain a method of reciprocal giving and receiving of
business among its members;
· To create a practical means of bringing its members in touch with
prospective business and to create professional development and marketing
opportunities;
· To promote trust, friendship, and a closer association among members;
· To provide an annual scholarship to a deserving female student from our
geographical area.
Article 3 - Officers
1. The officers of the organization, together with their terms of office
shall be as provided by bylaws.
Article 4 - Membership Qualifications & Admission
1. All memberships shall be represented by a business person interested in
enhancing their career.
2. Any dues and fees required by the Bylaws must be received by the
Treasurer before the applicant becomes a member.
Article 5 - Amendments
1. This Constitution may be amended or altered or a new Constitution
adopted at any regular meeting, or by a mail vote of this organization by
the affirmative vote of two-thirds of the general membership.
2. A copy of any such amendment, alteration or new Constitution so adopted
shall be mailed or otherwise delivered to each member as soon as
practical.
